These Terms and Conditions ("Terms") govern your access to and use of the websites, quizzes, funnels, courses, programs, downloadable materials, community spaces, digital products, and AI-guided mentors offered by Feminine Mastery Club LLC ("Feminine Mastery Club," "FMC," "we," "us," or "our"), including without limitation Elegance Foundations™, High Value Love Method™, Feminine Finance Framework™, and The Elite Social Calendar™ (collectively, the "Services").

By accessing, purchasing, or using any part of the Services, you agree to these Terms. If you do not agree, do not access or use the Services.

 

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to access or use the Services. By using them, you represent and warrant that you meet these requirements and that all information you provide is accurate.

 

2. Electronic Acceptance; Binding Agreement

By clicking "purchase," "I agree," or a similar control, by completing checkout, or by accessing or using any part of the Services, you enter into a legally binding agreement with us on these Terms. You agree that your electronic actions, acceptances, and communications constitute your signature, are given with the same legal effect as a handwritten signature, and satisfy any legal requirement that a communication be in writing. You waive any right to assert that this agreement is unenforceable because it was formed or signed electronically.

 

3. The Services are Educational

The Services are provided for general educational and informational purposes only and do not create any professional, advisory, coaching, therapeutic, medical, financial, legal, or client relationship. Our Disclaimer and AI Policy are incorporated into these Terms by reference and govern the nature and limits of the Services.

 

4. Accounts and Access

Access to certain Services requires a purchase or account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Access is licensed to you personally, is non-transferable, and may not be shared. We may suspend or terminate access as described in these Terms.

 

5. Purchases and Pricing

• Prices are displayed at checkout and may change at any time; the price in effect at your purchase applies to that purchase.

• Payment is processed by third-party checkout and payment providers. By purchasing, you also agree to those providers' terms, and you authorize them to charge your selected payment method for the total shown, including applicable taxes.

• If any Service is offered on a recurring or subscription basis, the billing frequency, renewal, and cancellation method will be disclosed at checkout, and you may cancel as described there. You are responsible for charges incurred before cancellation takes effect.

 

6. All Sales are Final; No Refunds

All sales are final. Because the Services consist of digital products and content delivered with instant or near-instant access, we do not offer refunds, exchanges, credits, or cancellations once a purchase is completed, in whole or in part, and regardless of whether you access, download, complete, or use the Service purchased.

You acknowledge and agree that:

• access to digital content is granted immediately upon purchase and cannot be returned;

• your purchase constitutes your express request for, and consent to, immediate delivery of digital content; and

• non-use, dissatisfaction, changed circumstances, or lack of results are not grounds for a refund.

The only exception is where a refund is required by applicable, non-waivable law, in which case we will provide the minimum refund that the law requires. This Section survives termination.

 

7. Chargebacks and Payment Disputes

If you believe a charge is in error, you must contact us first at femininemasteryclub@gmail.com and allow us a reasonable opportunity to resolve the matter before initiating any chargeback, dispute, or payment reversal with your bank or card provider.

You agree that:

• initiating a chargeback or payment dispute in breach of these Terms — including in circumvention of Section 6 (All sales are final) — is a breach of this agreement;

• upon our receipt of notice of a chargeback or dispute, we may immediately suspend or permanently revoke your access to any and all Services, including content you have already accessed;

• in response to any chargeback or dispute, we may submit these Terms and evidence of your purchase, acceptance, delivery, and access to the payment processor and card network as proof that the Services were rendered as agreed;

• we may permanently block your future access to and purchases of the Services; and

• you remain responsible for amounts owed, and for any fees, costs, and reasonable attorneys' fees we incur in responding to a wrongful chargeback, to the fullest extent permitted by law.

This Section survives termination.

 

8. License, Acceptable Use, and Anti-Sharing

We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and their content for your own personal, non-commercial use only.

You agree not to, and not to permit or assist any third party to:

• copy, reproduce, record, screenshot, download (except where a download is expressly provided), share, resell, rent, sublicense, distribute, publicly display or perform, post, or create derivative works from any part of the Services or their content;

• share, transfer, or provide access to your account, login credentials, or any purchased materials with or to any other person;

• reproduce, imitate, or recreate our frameworks, methodologies, course structures, funnels, quizzes, scoring logic, AI mentors, or prompts, in whole or in part;

• use any part of the Services or its content or outputs to develop, train, market, or operate a competing or substantially similar product, program, or service;

• access, scrape, crawl, harvest, index, or bulk-extract content, data, or AI outputs by any automated or manual means;

• reverse engineer, decompile, or attempt to derive the underlying structure, prompts, or logic of any part of the Services, including the AI mentors; or

• use the Services unlawfully, deceptively, abusively, or in any manner that harms, overburdens, or interferes with the Services or other users.

We may suspend or terminate access immediately, without refund, for any actual or suspected violation of this Section.

 

9. Intellectual Property

All right, title, and interest in and to the Services and their content are and remain the exclusive property of Feminine Mastery Club LLC and its licensors, and are protected by copyright, trademark, trade secret, and other intellectual property laws. This includes, without limitation:

• the frameworks, methodologies, systems, and processes underlying the Services, including High Value Love Method™, Feminine Finance Framework™, and Elegance Foundations™;

• the course structures, curricula, sequencing, downloadable materials, and funnels;

• the AI mentor identities, personalities, personas (including Grace, Venus, and Harmony), prompts, prompt design, instructions, and conversational systems;

• the quizzes, questions, archetypes, and scoring and personalization logic;

• all brand names, trademarks, service marks, logos, trade dress, designs, and copy; and

• all related documentation, and any improvements or derivatives of the foregoing.

No license or ownership is transferred to you except the limited use license in Section 8. You may not register, claim, or use any of our names, marks, frameworks, or systems, and you may not remove or alter any proprietary notice. All goodwill arising from use of our marks inures to us. We reserve all rights not expressly granted.

 

10. AI-guided Features and Third-party AI Providers

The Services include AI-guided mentors and AI-generated content. Your use of these features is also governed by our AI Policy, incorporated by reference.

You acknowledge and agree that:

• our AI mentors are hosted on and provided through OpenAI's ChatGPT platform, and we also use Anthropic's Claude models for AI-assisted quiz and content generation — both OpenAI and Anthropic are third-party providers;

• when you interact with an AI mentor, you are using a third-party platform operated by OpenAI, and your interaction is also governed by OpenAI's own terms and privacy policy in addition to ours;

• we do not own, control, operate, or guarantee the ChatGPT platform, the Claude models, or the underlying AI models, and their behavior, availability, and data practices are outside our control;

• AI outputs are generated automatically, are not reviewed by a human or a licensed professional before you receive them, and may be inaccurate, incomplete, outdated, or fabricated;

• we are not responsible or liable for the accuracy, reliability, or consequences of any AI output, and AI outputs are not professional advice of any kind (including medical, mental-health, financial, tax, legal, or relationship advice);

• by using these features, you consent to your inputs being transmitted to and processed by these third-party providers under their terms; and

• you will not use the AI features, their inputs, or their outputs to train, fine-tune, or develop any machine-learning model, or to extract, reconstruct, or compete with our systems or prompts.

Liability for the underlying platforms and models rests with OpenAI and Anthropic respectively, not with us, to the fullest extent permitted by law.

 

11. User Content

If you submit content to us, the community spaces, or the AI mentors, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, store, reproduce, and display that content to operate, provide, and improve the Services. You represent that you have the rights to submit it and that it does not violate any law or third-party right. Please do not submit sensitive personal information (see our Privacy Policy and AI Policy).

 

12. Community Spaces and Conduct

Where we provide community spaces, you agree to participate respectfully and lawfully, and not to harass, spam, solicit, advertise, share others' content or personal information, or disrupt the community. We may moderate, restrict, suspend, or remove any user or content at our sole discretion, with or without notice, to protect the community. Removal for violation of these Terms does not entitle you to any refund, consistent with Section 6.

 

13. No Guarantees; Results and Testimonials

We make no promise of any specific outcome, result, income, or access. Your results depend on your own circumstances, choices, and effort, and individual experiences differ. Any examples, testimonials, case studies, community figures, or results we share are illustrative, reflect individual experiences, are not typical or guaranteed, and are not a promise that you will achieve similar outcomes. Any financial, income, or earnings-related content is educational only and is not a guarantee of financial results.

 

14. Third-party Services and Links

The Services rely on and may link to third-party platforms (including hosting, email, checkout, payment, course delivery, and AI providers). We do not control and are not responsible for third-party services or their content, and your use of them is governed by their own terms.

 

15. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. Our content and Materials may contain errors and — because some content is AI-generated or AI-assisted — may be inaccurate, incomplete, or out of date; we do not warrant their accuracy, completeness, or currency and are under no obligation to update them.

 

16. Limitation of Liability

To the fullest extent permitted by law, Feminine Mastery Club LLC and its owners, members, affiliates, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising from or related to the Services or these Terms. To the fullest extent permitted by law, our total aggregate liability for all claims will not exceed the amount you paid us for the Service giving rise to the claim in the twelve (12) months before the event giving rise to the claim.

 

17. Indemnification

You agree to indemnify, defend, and hold harmless Feminine Mastery Club LLC and its owners, members, affiliates, and providers from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Services, your content, your breach of these Terms, or your violation of any law or third-party right.

 

18. Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including service or platform outages, hosting, payment-processor, or AI-provider downtime or failure, internet or telecommunications failures, cyberattacks, security incidents, denial-of-service attacks, acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labor disputes, or governmental action.

 

19. Governing law

These Terms are governed by the laws of the State of Hawaii and applicable U.S. federal law, without regard to conflict-of-laws rules. Subject to Section 19, the exclusive venue for any dispute is Honolulu County.

 

20. Changes to the Services and Terms

We may modify, suspend, or discontinue any part of the Services at any time. We may update these Terms by posting a revised version with a new "Last updated" date; your continued access or use after the changes take effect constitutes acceptance.

 

21. Termination

We may suspend or terminate your access at any time, with or without notice, for violation of these Terms or as otherwise permitted by law. Upon termination, your license ends and you must stop using the Services. Sections that by their nature should survive — including Sections 6, 7, 9, 15, 16, 17, and 19 — survive termination.

 

22. Miscellaneous

If any provision is held unenforceable, it will be limited or severed and the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy, Disclaimer, and AI Policy, constitute the entire agreement between you and us regarding the Services and supersede prior agreements on the subject. You may not assign these Terms without our consent; we may assign them. Nothing in these Terms creates any agency, partnership, or joint venture.
